1. Who we are
Provider: TracknTake SLU (trading as "Loveo"), tax ID B56357072, registered at Camino de Son Llagosta 26, 07015 Palma de Mallorca, Islas Baleares, España. Contact: hola@loveoo.app.
2. Scope
These terms govern use of this website and Loveo's catalogue onboarding service for delivery platforms and marketplaces ("the Customer"). The service is for businesses only. A signed order form or agreement takes precedence over these terms where they differ.
3. The service
From a merchant's online shop URL, Loveo returns the merchant's product catalogue in the Customer's format and, where contracted, keeps it current. Access to Loveo Connect is by invitation.
4. Fees and payment
- Fees for the service are set in the order form for each engagement. Prices exclude VAT.
- Late payment may result in suspension of the service after written notice.
5. Customer obligations
- Send only URLs of merchants it has a legitimate business relationship with, and obtain any merchant consent required.
- Use the catalogue data only to list the merchants' products on its own platform.
- Keep Loveo Connect credentials secure and not share access outside its organisation.
- Not use the service for unlawful purposes or to infringe third-party rights.
6. Data protection
When Loveo processes merchant data on the Customer's behalf, it acts as data processor and the parties will sign a data processing agreement where the GDPR requires it. See our privacy policy for platforms.
7. Intellectual property
The website, software, methodology and Loveo Connect belong to TracknTake SLU. Merchants keep ownership of their catalogue content. The Customer receives a non-exclusive licence to use the delivered catalogue data for the purpose in section 5 while the contract is in force.
8. Confidentiality
Each party will keep confidential any non-public information received from the other and use it only to perform the contract, during the contract and for 2 years after it ends.
9. Warranties and liability
Loveo delivers the service with reasonable care and skill. Catalogue data reflects what merchants publish on their own shops, and Loveo does not guarantee its completeness or accuracy beyond what was agreed in the order form. Neither party is liable for indirect or consequential loss, lost profits or lost data. Each party's total liability is limited to the fees paid or payable in the 12 months before the event giving rise to the claim. These limits do not apply where the law does not allow them to.
10. Term and termination
The contract runs for the term in the order form. Either party may terminate for material breach not remedied within 30 days of written notice. On termination, Loveo deletes or returns Customer data as agreed.
11. Governing law and jurisdiction
Spanish law applies, and the parties submit to the courts of Palma de Mallorca, unless the order form says otherwise.
